Terms and Conditions

1. Who provides this service

Nerela is operated by LAGASTROEMIA VENTURES OÜ, a company incorporated in Estonia, with its registered office at Sakala tn 7-2, Kesklinna linnaosa, 10141 Tallinn, Estonia, and VAT identification number EE102418024.

2. What Nerela is

Nerela is a practice-management support tool: calendar, patient records, session notes, invoicing and public online booking. Nerela doesn't provide healthcare, isn't responsible for the clinical content entered by the professional, and doesn't replace the psychologist's professional judgement.

3. Who can sign up

The App is intended for psychologists licensed to practise (with a current registration with the Ordem dos Psicólogos Portugueses, the relevant Colegio Oficial de la Psicología in Spain, or an equivalent professional body) and for clinics/practices that employ them or work with them. You're responsible for keeping your professional registration current and for only processing patient data within the scope you're legally licensed for.

Account creation doesn't currently validate your professional licence number automatically — that check is on the roadmap but doesn't exist yet. By signing up, you declare that you're licensed to practise.

4. Your account

You're responsible for keeping your credentials confidential and for all activity carried out under your account. Let us know immediately if you suspect any unauthorised access.

On a "clinic" account, the account holder is responsible for correctly managing the access of associated professionals and for making sure each one only accesses the data they're entitled to.

5. Plans, pricing and billing

Independent Plan: €19/month, for a single professional working individually. Clinic Plan: €59/month base fee (includes up to 3 professionals) + €9/month per additional professional. Both plans get 20% off with annual billing.

New accounts: every new account starts with a free 14-day trial, on both billing cycles. We don't ask for card details to create the account or during the trial, and nothing is charged automatically when it ends: there is no renewal to cancel.

To keep using Nerela after the trial you have to subscribe yourself, from Billing. Only at that point are payment details entered and recurring billing for your chosen plan begins, until you cancel — you can cancel at any time in Billing, with no minimum commitment.

We reserve the right to review our prices, giving reasonable notice (at least 30 days) before any change takes effect on an already-active account.

6. Your data and your patients' data

When you use Nerela to manage patients, you (or your clinic) are the controller for your patients' data, and Nerela acts as a processor, handling that data only in line with your instructions and to provide the service. This is set out in detail in our Privacy Policy.

You're responsible for having a valid legal basis to process your patients' data (typically the patient's consent, or the necessity of their own clinical care) and for meeting your own professional obligations around confidentiality and health-data protection.

7. Acceptable use

You may not use the App to store data on people you don't have a legitimate professional relationship with, for unlawful purposes, to try to access other professionals' accounts or data, or to deliberately overload the service's infrastructure.

8. Invoicing and tax compliance

Nerela's invoicing module (/faturas) generates PDF documents with our own hash-chaining and QR code, but it is NOT currently certified by the Portuguese Tax Authority and doesn't issue an ATCUD — it doesn't fully comply with Decree-Law no. 28/2019 or the ATCUD requirement in force since 2023. We don't present or sell /faturas as your official legal tax document.

If you issue your invoices through the Portal das Finanças (Recibos Verdes) or the equivalent with Spain's AEAT, that remains your fiscally valid invoicing channel — use Nerela as internal support and as a copy for the patient, not as a replacement. If you bill above the thresholds that require formal bookkeeping, or you run a clinic with several professionals, talk to us before relying on this module alone.

9. Service availability

We make a reasonable effort to keep the App available, but we don't currently guarantee a formal service level (SLA) or compensation for downtime. Where possible, we give advance notice of maintenance involving planned downtime.

10. Limitation of liability

To the fullest extent permitted by law, Nerela is not liable for clinical decisions made on the basis of information recorded in the App, nor for indirect or consequential losses arising from use of the service. Nothing in these Terms limits liability that cannot be lawfully limited (for example, in cases of gross negligence or wilful misconduct).

11. Term, suspension and cancellation

You can cancel your account at any time. We may suspend or close accounts that breach these Terms, giving prior notice whenever the situation allows for it. After cancellation, we keep your data for the period described in the Privacy Policy, after which it's deleted or anonymised.

12. Changes to these Terms

We may update these Terms to reflect changes to the service or to applicable law. Material changes are communicated by email or through a notice in the App, with reasonable advance notice.

13. Governing law and dispute resolution

Nerela is operated from Estonia by the company identified in section 1. These Terms don't set an express choice of jurisdiction: any dispute is governed by whatever rules on applicable law and competent jurisdiction follow from the law in force.
